These Affiliate Program Terms ("Program Terms") govern your participation in the CountWise Affiliate Program (the "Program") and apply in addition to the general Terms of Service. By submitting an application to the Program, or by using an affiliate link, referral code, or account access granted to you as an approved affiliate, you agree to these Program Terms. The version you agreed to at approval is permanently recorded against your affiliate account and is not changed retroactively by a later update to this page — see Section 11.

1. Enrollment

Participation is by application only. We review every application — including your stated platform, profile link, and audience size — before approving it, and we may approve, reject, or ask follow-up questions at our sole discretion. You must be at least 18 years old, hold a CountWise account in good standing, and provide accurate information in your application. One affiliate account per person; we may reject or later revoke an approval obtained through false or misleading information.

2. What You Get When Approved

Approval grants free lifetime access to CountWise's PRO tier on your own account, at no cost, for as long as you remain an affiliate in good standing (see Section 9 on what happens to this if your participation ends). Approval also generates your own referral link and referral code, and — where we've made them available — access to a Content Center of promotional captions, scripts, and other material you may use to promote CountWise under Section 8 below.

3. How Referrals Are Tracked

A referral is attributed to you when someone creates a CountWise account after clicking your link or entering your code, within the attribution window disclosed in the Program at the time (currently 30 days from the click). Attribution is captured exactly once, at the moment that person's account is created, and cannot be changed, transferred, or reassigned afterward — including by you. If someone qualifies for attribution to more than one affiliate's link during that window, the most recent click before signup controls. You may not refer yourself, and an account created by you, or that you control, will not generate a referral or any commission.

4. Commission Structure

Your commission rate is fixed at the rate disclosed to you at the time you were approved into the Program, and does not change if we later adjust the Program's default rate for new affiliates — an existing affiliate's rate only changes with their agreement. As of the date on this page, the standard structure is:

Commissions are calculated on the gross amount the customer actually paid, excluding taxes. If a referred customer's payment is refunded or reversed (including a chargeback), the corresponding commission is reversed and is not payable. A referred customer canceling their subscription simply means no further commission accrues from that point forward — it does not affect commissions already earned on completed billing cycles.

Any earnings figures, calculators, or examples shown in the Program (including on your affiliate dashboard) are illustrative estimates only, not a guarantee, promise, or projection of what you will actually earn. Actual results depend on your audience and are not something we control or warrant.

5. Payout Schedule and Method

The pay period is a full calendar month — the 1st through the last day of that month. Commissions are recorded to your account as Pending, then move to Approved once we've reviewed them, and are bundled into a payout covering the prior, now-complete calendar month. Payouts are issued on the 5th of the following month, or the next business day if the 5th falls on a weekend or a recognized U.S. federal holiday. We do not currently guarantee a specific payment method or a minimum payout threshold; we'll disclose either if we adopt one. We reserve the right to hold, delay, or offset a payout to investigate suspected fraud or a violation of these Program Terms.

6. Your Own Vanity Referral Code

You may set, change, or clear a custom referral code for your own audience at any time from your dashboard. Your original, system-assigned code always continues to work as a stable fallback even after you set a custom one. A requested custom code must not duplicate another affiliate's code (original or custom) and may be rejected or reclaimed if it infringes a trademark, is offensive, or is used to impersonate another person or brand.

7. Prohibited Conduct

You agree not to, in connection with the Program:

We may withhold, reverse, or claw back commissions traceable to prohibited conduct, in addition to any other remedy available to us under Section 9.

8. Use of Our Name and Marketing Material

We grant you a limited, non-exclusive, revocable license to use the CountWise name and any promotional material we provide (including anything in the Content Center) solely to promote CountWise through the Program. You may not modify our logo or trademarks, imply an exclusive partnership or endorsement relationship beyond "affiliate," or redistribute, resell, or repurpose provided material outside the Program. This license ends automatically when your participation in the Program ends.

9. Suspension and Termination

You may stop participating at any time by contacting us at support@21countwise.app; your link and code will be deactivated and no further referrals will be attributed to you going forward. We may suspend or terminate your participation at any time, with or without cause, including for a violation of these Program Terms, fraud, or if we discontinue the Program. Commissions already marked Approved at the time of termination remain payable on the normal schedule; commissions still Pending at termination for cause (including fraud or a Program Terms violation) may be forfeited. Terminating your participation in the Program does not by itself close your underlying CountWise account, but the free lifetime PRO access described in Section 2 ends when your Program participation ends, except where we agree otherwise.

10. Independent Contractor; Taxes

You participate in the Program as an independent contractor, not as an employee, agent, joint venturer, or partner of CountWise. You are solely responsible for any taxes owed on amounts paid to you under the Program. If your earnings in a calendar year meet an applicable reporting threshold, we may request tax information from you (such as a completed Form W-9 for U.S. persons) and may be required to report your earnings to tax authorities; we may withhold or delay a payout until that information is provided if required by law.

11. Changes to These Program Terms

We may update these Program Terms or the Program's standard commission rates for new affiliates at any time. A change to the standard rate applies only to affiliates who enroll after the change — it does not retroactively alter the rate already fixed to your account under Section 4. If we make a material change to these Program Terms themselves, we'll update the "Last updated" date above; continued participation in the Program after that update means you accept the revised Program Terms.

12. Governing Law

These Program Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law provisions, regardless of your own location.
